Valuation and Litigation Support Engagements
- Fair market value analyses of three related specialty book and newsletter publishing companies operating under agreements with The Regents of The University of California and The Johns Hopkins University in connection with a pending court matter. Retained jointly as neutral appraiser by both plaintiff and defendant.
- Fair market value analysis of a U.S. special-interest consumer magazine publishing company, Veranda Publications, Inc., for the controlling shareholder.
- Fair market value analysis of a leading U.S. data mining consulting company, Data Miners, Inc., for the purpose of valuing a minority interest shareholding for distribution to a key employee.
Restructuring Engagements
- Served as financial advisor to the Official Unsecured Creditors Committee of Rx Remedy, Inc., a Chapter 11 bankruptcy case of a privately-held information services, specialty publishing, database marketing and Internet company involved in consumer healthcare information with more than $100 million in liabilities. Arranged the sale of the assets of several divisions under U.S. Bankruptcy Court supervision.
- Advised a multi-title consumer magazine publishing company, Metro Corp. Holdings, publishers of Boston and Philadelphia magazines, on out-of-court restructuring of its senior debt.
- Conducted comprehensive situation analysis for the CEO/Owner of a business information services company which provides advertising lead data to corporate subscribers. Provided operational advice to assist the company in resuming profitability after conversion from print-based business model to Internet-based distribution of content.
Strategy, Governance and Human Resource Consulting Engagements
- Oversaw intergenerational transition of ownership and management, and revised mix of businesses for a Maryland-based $65 million manufacturer of chemical intermediates. Recruited a Board of Advisors which is becoming a fiduciary Board of Directors as company prepares for private equity infusion in advance of add-on acquisitions.
- Co-advised on post-merger integration issues for a $600 million alcoholic beverages distributor resulting from combination of three separate companies owned by five families in one large statewide market.
- Advised on a new strategy for a $400 million real estate development and investment firm in New Jersey. Helped founder, son and employee COO to rationalize operations, refocus business mission, and create an appropriate organizational structure with which to own, manage, and finance their property assets.
- For a $24 million annual revenue Swiss and U.K. based for-profit educational institution, investigated and analyzed financial systems, capital structure, and operations, as well as presented recommendations for management and governance reforms.
- Advised the CEO/Owner of an established specialized public relations firm on how to grow revenues and profitability. Follow-up engagements addressed organizational and financial issues which resulted from increased revenues, staff, and profits.
- Advised the board of directors of The Society of American Florists, a U.S. non-profit industry trade association, on its plans to develop a for-profit consumer publishing business.
Mergers & Acquisitions Advisory Engagements
- Retained as joint selling agent to conduct an auction offering of a multi-title disease-specific consumer healthcare publishing company, Smart + Strong LLC, publishers of POZ magazine, as a going concern.
- Retained as selling agent to conduct auction offering of Dinaco Inc., a national point-of-purchase merchandising services company.
- Advised a major U.S. private equity investment firm, Castle Harlan, Inc., in connection with several potential acquisitions:
- $40 million magazine division auction sale by The New York Times Company.
- $100 million auction sale of Los Angeles Daily News.
- Co-advised a large French publishing company in its detailed review of possible purchase of the special interest consumer magazine assets of a privately held U.S. company.
